1. Acceptance of Terms

By accessing or using the Mogvel platform ("Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our Service. These terms apply to all users, including businesses and vendors registered on the platform.

2. Description of Service

Mogvel is a B2B procurement platform that connects businesses with verified vendors in Georgia. The Service includes product catalog browsing, order management, delivery tracking, inventory management, analytics, and payment processing features.

3. Account Registration

To use the Service, you must register an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Business and vendor accounts are subject to verification by the Mogvel team.

4. User Obligations

You agree to use the Service only for lawful purposes and in accordance with applicable Georgian laws and regulations. You shall not misuse the platform, interfere with its operation, or attempt to gain unauthorized access to any part of the Service.

5. Vendor Responsibilities

Vendors are responsible for the accuracy of their product listings, pricing, and stock availability. Vendors must fulfill orders in a timely manner and comply with all applicable trade and commerce regulations in Georgia.

6. Payments and Billing

Subscription fees are billed monthly. Payment terms, including trade credit arrangements between businesses and vendors, are governed by the agreements made through the platform. Mogvel reserves the right to modify pricing with 30 days' advance notice.

7. Intellectual Property

All content, trademarks, and intellectual property on the Mogvel platform are owned by or licensed to Mogvel. You may not reproduce, distribute, or create derivative works from any part of the Service without prior written consent.

8. Limitation of Liability

Mogvel provides the Service on an "as is" basis. To the fullest extent permitted by law, Mogvel shall not be liable for any indirect, incidental, or consequential damages arising from the use of the Service, including disputes between businesses and vendors.

9. Termination

Either party may terminate use of the Service at any time. Mogvel reserves the right to suspend or terminate accounts that violate these terms. Upon termination, your right to access the Service ceases immediately.

10. Governing Law

These Terms are governed by the laws of Georgia. Any disputes arising from these Terms shall be resolved in the courts of Tbilisi, Georgia.
